Our Corporate Legal Counsels support Endava’s in-house legal function by providing corporate legal advice across a broad range of matters, including governance, public company compliance, M&A support, treasury, restructurings and global expansion.
Working under the guidance of senior legal colleagues, this role partners closely with Finance, Tax, Treasury, Sales and other business teams to support informed commercial decision-making. The role offers exposure to senior stakeholders and listed-company governance within a global, regulated organisation.
The role also contributes to improving legal efficiency and quality through the responsible use of legal technology and AI-enabled tools, in line with internal policies and professional standards.
Key Responsibilities
Corporate & Regulatory Support
- Support the provision of corporate legal advice across the UK, US, Europe and other jurisdictions, under supervision
- Assist with corporate governance and regulatory compliance matters
- Support the establishment of new group entities, including coordination with external counsel and preparation of incorporation documentation and filings
Public Company & Reporting
- Support US public company compliance activities, including assisting with the legal review of the annual report (Form 20-F) and UK annual reports
- Assist with securities law and listing rule compliance, mandatory filings and disclosures
- Respond to auditor queries and support SOX-related processes, in coordination with senior legal colleagues and external advisers
- Gain exposure to listed-company governance and disclosure processes, including interaction with senior stakeholders
M&A, Treasury & Transactions
- Assist on M&A transactions, including due diligence, drafting and reviewing transaction documents, negotiations, completion activities and post-acquisition integration
- Support internal restructurings and intercompany arrangements
- Assist with treasury-related matters, including loan capitalisations and banking facilities
- Support risk assessment, issue escalation and stakeholder communication across transactions and integration activities
Litigation, Risk & External Counsel
- Support corporate litigation matters, including coordination with external counsel
- Draft and review corporate legal documents and contracts
- Support the selection and management of external legal counsel, including assisting with RFPs and cost management
- Monitor and escalate related party transactions, as applicable
Legal Technology & AI
- Use AI-enabled legal tools (e.g. document review, legal research and generative AI) to support drafting, analysis and issue spotting, under appropriate supervision
- Apply professional judgement when using AI-enabled tools, including validating outputs, identifying legal risk, and ensuring confidentiality, data protection and ethical standards are maintained
- Contribute to continuous improvement of legal processes through responsible use of legal technology
Collaboration & Development
- Assist with the preparation of board and committee materials and support company secretarial matters
- Work collaboratively with colleagues across Finance, Tax, Commercial, Employment and ESG
- Assist with the supervision of a junior lawyer’s corporate training seat
Development & Growth
- Build experience across corporate governance, public company compliance and cross-border transactions
- Develop confidence advising senior stakeholders under supervision

Skills & Experience
Required
- Law degree (LLB, JD or equivalent)
- Experience gained in private practice, ideally within a corporate or M&A team
- Strong drafting, organisational and analytical skills
- Ability to manage multiple matters concurrently in a fast-paced environment
- Clear, confident communicator with strong attention to detail
Preferred
- In-house corporate legal experience (desirable but not essential)
- Exposure to public company compliance, securities law or capital markets (US and/or UK)
- Experience supporting cross-border transactions or restructurings
- Practical experience using AI-enabled legal tools and critically assessing AI-generated outputs
