Accountabilities:
The Commercial Counsel will play a key role in supporting business operations by providing strategic legal advice, managing commercial negotiations, and improving contracting processes. This position requires strong ownership, cross-functional collaboration, and the ability to balance legal risk with business objectives.
- Draft, review, negotiate, and manage a wide range of commercial agreements, including SaaS agreements, software licenses, NDAs, evaluation agreements, partnership agreements, data processing agreements, and vendor contracts.
- Own the complete contract lifecycle, from initial review and negotiation through execution, while ensuring timely and effective deal completion.
- Partner with sales, product, privacy, security, HR, marketing, and business teams to provide practical legal guidance and support strategic initiatives.
- Advise stakeholders on legal risks, commercial strategies, product-related matters, and operational challenges.
- Drive alignment across teams to resolve complex transaction issues and support successful negotiations with customers and partners.
- Help build, streamline, and operationalize scalable contracting processes to support business growth.
- Support additional legal initiatives, including research, deal structuring, policy development, intellectual property matters, employment-related topics, and corporate operations as needed.
- Act as a trusted problem solver within a collaborative legal team, contributing across multiple areas and supporting evolving business needs.
