Accountabilities:
The Contracts and Compliance Specialist will support legal operations by managing contracts, compliance activities, policy development, and operational processes. The role requires strong organizational skills, commercial awareness, and the ability to deliver accurate legal support while collaborating with internal and external stakeholders.
- Review, draft, redline, and negotiate NDAs and low-to-moderate-risk commercial agreements, escalating complex matters with clear analysis and recommendations.
- Maintain and enhance contract templates, clause libraries, playbooks, and contract management processes.
- Track contract lifecycles, renewal timelines, obligations, and execution status to ensure timely completion.
- Serve as a key contact for client procurement compliance requirements, including onboarding questionnaires, audits, certifications, and recurring compliance requests.
- Develop repeatable processes, templates, and documentation to improve the efficiency of compliance operations.
- Support corporate compliance initiatives, regulatory monitoring, and implementation of internal policies.
- Review contractual insurance requirements and coordinate with brokers to obtain certificates of insurance and policy documentation.
- Identify potential coverage gaps, unusual contractual obligations, and compliance risks for review.
- Draft, update, and maintain internal policies related to data privacy, information security, acceptable use, and workplace practices.
- Collaborate with business stakeholders to ensure policies are practical, aligned with business needs, and effectively implemented.
- Provide legal operations support for special projects, including litigation support activities such as document collection and coordination with external counsel when required.
Requirements:
The ideal candidate will bring experience in contracts, compliance, legal operations, or a related paralegal function, with strong analytical abilities and the confidence to manage responsibilities independently.
