This role is designed for a highly skilled attorney who thrives at the intersection of law, finance, and innovation. As Counsel, Commercial (Institutional Legal), you will provide strategic legal guidance on complex financial products, including trading, custody, prime brokerage, derivatives, and financing arrangements. You will partner with internal teams across business development, product, engineering, and compliance to structure agreements, manage risk, and ensure regulatory alignment. This position demands a proactive, solutions-oriented mindset, balancing rigorous legal judgment with practical business advice. Accountabilities:
- Negotiate complex, bespoke agreements with institutional clients and strategic partners in financial services and digital asset markets.
- Provide full product lifecycle legal counsel for prime brokerage, custody, derivatives, and related institutional products.
- Advise on legal and regulatory issues relating to blockchain, digital assets, and fintech operations.
- Collaborate with cross-functional teams including Sales, Business Development, Product, Engineering, Finance, and Compliance to drive alignment and support deal execution.
- Identify, evaluate, and mitigate legal and commercial risks while supporting the business’s growth objectives.
- Proactively develop commercial processes, ensuring scalable, compliant, and efficient solutions for institutional transactions.
- Serve as a strategic business partner, providing practical, commercially-focused advice to internal stakeholders.
Requirements:
- Licensed attorney with at least 5 years of experience in financial services institutions or law firms supporting institutional clients.
- Strong negotiation skills and experience reviewing and drafting complex financial agreements (e.g., prime brokerage, lending, derivatives).
- Commercial and transactional legal experience with a focus on finance, fintech, or related sectors.
- Familiarity with US, EU, and/or UK regulatory frameworks applicable to financial instruments and digital assets.
- Ability to collaborate effectively with globally distributed teams and manage cross-functional projects.
- Intellectual curiosity, creativity, and comfort challenging conventional approaches.
- Excellent judgment, analytical rigor, and clear, pragmatic communication.
- Detail-oriented with strong process ownership from project inception to completion.
- Interest in blockchain technology and digital currency markets.
- Experience with fintech product development, cross-border transactions, or collateral arrangements is a plus.
