Senior Associate, Contract Management

Responsibilities

• • Be responsible for drafting and negotiating a wide range of Commercial Contracts and R&D agreements, including confidentiality agreements, investigator-initiated study agreements, research and collaboration agreements, CRO and vendor agreements, material transfer agreements, consulting agreements, grants and data or technology licence agreements

  • Working closely with our Client’s in-house legal team and stakeholders on a range of matters such as procurement, privacy, professional services, technology, information security and intellectual property, research and development, clinical studies and other pharmaceutical matters

  • Collaborate with specialist legal and business functions, including intellectual property, privacy, compliance, regulatory, quality, pharmacovigilance and procurement, and coordinate their input where required

  • Ensure agreements appropriately address key R&D risks, including ownership and use of intellectual property, study data and results, publication rights, confidentiality, data privacy, regulatory and quality responsibilities, liability, indemnification and insurance

  • Be part of a team committed to the overall timely and accurate delivery of services and compliance with all delivery commitments to the client

  • Active caseload management, including prioritization, deadlines and escalation

  • Adhere to all Factor delivery processes and commitments;

  • Input and manage data on Factor and client systems and keep them up to date;

  • Help develop contract templates, playbooks and other tools for use by the team;

  In addition to the above, here are the required skills, knowledge, capabilities, and education for this role:

  • Law Degree and/or Legally Qualified 
  • Legally eligible to work in the country this role is based
  • 4+ years’ demonstrable experience of independently drafting and negotiating commercial contracts within a law firm, as part of an in-house legal team or within Factor; experience supporting pharmaceutical, biotechnology, life sciences or other regulated R&D activities is strongly preferred
  • Excellent attention to detail 
  • Operates with substantial latitude, with minimal or no supervision 
  • Strong awareness of potential IP and data processing risks and issues 
  • The legal knowledge to act as a senior advisor to the client and serve as an escalation point on issues for more junior team members 
  • Very strong written and verbal communication and presentation skills 
  • Very strong working knowledge of Microsoft Office suite - especially Microsoft Word 
  • Coaching and mentoring more junior team members 
  • Experience of client relationship management 
  • Working with a recognized matter management system as part of daily routine
