This role is designed for an experienced corporate attorney who will lead SEC compliance, corporate governance, and public company legal matters. You will partner closely with senior leadership and the Board of Directors, ensuring all filings, disclosures, and governance activities are accurate, timely, and compliant with regulatory requirements. The position requires expertise in securities law, equity programs, corporate transactions, and global subsidiary management. You will provide strategic guidance, draft and review key legal documents, and supervise members of the legal team. This is a high-impact role where your work will directly influence corporate operations, investor relations, and regulatory compliance in a dynamic, fast-paced environment.
Accountabilities:
- Lead compliance with SEC and NYSE regulations, preparing all public company filings including 10-K, 10-Q, 8-K, DEF-14A, and S-8 reports.
- Advise on corporate governance matters, including Board and committee materials, stockholder meeting documentation, and drafting resolutions and minutes.
- Support investor relations, including press releases, investor presentations, quarterly earnings, and Regulation FD compliance.
- Oversee global equity programs, insider trading policies, 10b5-1 plans, blackout periods, and employee education initiatives.
- Assist with corporate transactions, including capital markets, debt financing, investments, mergers, and acquisitions.
- Manage global subsidiary governance and entity management to ensure regulatory compliance and streamlined processes.
- Draft clear legal agreements, policies, and procedures while supervising other legal team members.
- Drive continuous improvement, operational excellence, and scalable legal processes across the organization.
Requirements:
- 7–9+ years of legal practice, including experience at a leading law firm and in-house public company experience.
- J.D. from an ABA-accredited law school and active membership in good standing with a state bar.
- Extensive knowledge of SEC and NYSE rules, public company filings, and corporate transactions.
- Highly motivated, reliable, flexible, and able to manage multiple priorities under deadlines.
- Strong judgment, ownership mentality, and ability to think creatively to solve complex legal issues.
- Excellent communication and collaboration skills to work effectively with executives, the Board, and cross-functional teams.
- Experience with global equity programs, corporate governance, and regulatory compliance is required.
