We are seeking a Corporate Counsel to provide strategic, practical legal guidance and manage the full spectrum of corporate legal operations. This role will oversee customer and vendor contracts, privacy and data protection, regulatory compliance, and cross-functional legal support. The position balances risk management with business enablement, partnering closely with teams across Sales, Finance, Security, IT, and HR. You will drive scalable legal processes, ensure compliance with evolving regulations, and act as a trusted advisor to leadership. The role requires strong negotiation skills, technical legal knowledge, and the ability to translate complex legal matters into actionable business solutions. Accountabilities:
- Own and manage the full contract lifecycle, including drafting, reviewing, negotiating, and implementing MSAs, DPAs, SLAs, NDAs, and other agreements.
- Advise on privacy, data protection, and security-related matters, including GDPR, CCPA, and AI regulatory compliance.
- Partner with internal teams to ensure compliance with regulatory and corporate requirements across SaaS, AI, HR technology, and employment data.
- Provide corporate, HR, IP, and operational legal support, including corporate governance, insurance, leases, independent contractor agreements, and intellectual property strategy.
- Build and document scalable legal processes to manage risk while enabling business growth.
- Serve as a strategic legal partner, providing practical guidance to cross-functional teams and collaborating with external counsel when needed.
- Monitor evolving laws and regulations, ensuring the organization remains compliant while achieving business objectives.
Requirements:
- JD or equivalent law degree from an accredited law school.
- Active bar membership in at least one U.S. state.
- 10+ years of relevant legal experience, with 6+ years in-house preferred.
- Strong expertise in contract drafting, negotiation, corporate law, privacy/data protection, employment law, and regulatory compliance.
- Experience working with SaaS companies and technology contracts.
- Excellent analytical, problem-solving, and organizational skills, with high attention to detail.
- Strong interpersonal, communication, and stakeholder management abilities.
- Comfortable operating in a high-growth, fast-paced environment with competing priorities.
