This role offers a unique opportunity to provide comprehensive legal guidance across a dynamic, mission-driven organization focused on impactful programs and services. The Counsel will manage day-to-day contracting, advise on compliance, data privacy, technology, fundraising, and organizational risk matters, and serve as a trusted partner to leadership and cross-functional teams. You will handle complex legal issues, collaborate with internal and external stakeholders, and contribute to strategic initiatives that support organizational growth and sustainability. The role requires versatility, strategic thinking, and the ability to navigate sensitive matters with discretion. This is a fully remote position with the flexibility to work within EST–PST time zones. You will have meaningful influence on policies, processes, and decisions that affect both internal operations and community-facing programs.
Accountabilities:
- Manage, draft, review, and negotiate a wide range of contracts, including partnership agreements, sponsorships, grant agreements, software licenses, personal services contracts, and marketing agreements.
- Lead or support legal matters across data privacy, technology, product counseling, fundraising, nonprofit compliance, governance, crisis services, labor and employment, and international law.
- Research and advise on emerging legal issues relevant to organizational programs and constituents.
- Serve as a thought partner on complex legal matters, including compliance, risk management, and policy implementation.
- Collaborate with department heads and staff to address legal questions and provide guidance on organizational operations.
- Coordinate with external law firm partners on specialized legal issues and maintain strong professional relationships.
- Exercise judgment in sensitive matters, escalate issues appropriately, and maintain confidentiality and ethical standards.
- Assist in the development of legal policies, processes, and training across the organization.
Requirements:
- Membership in at least one state bar in good standing, with authority to practice in the applicable jurisdiction.
- Minimum of 5 years practicing law, including at least 2 years as in-house counsel.
- Proven experience in general legal advising, contract drafting, and negotiation.
- Strong ability to manage multiple projects under tight timelines and shifting priorities.
- Excellent communication and collaboration skills with legal and non-legal staff at all levels.
- Ability to navigate sensitive and confidential matters with discretion.
- Strong attention to detail, accuracy, and thoroughness in all work.
- Strategic thinking, with the ability to balance legal and business considerations.
- Proficiency in English (written and spoken).
- Desired: 7–10+ years legal experience, in-house nonprofit experience, familiarity with LGBTQ+ organizational issues, and proficiency in Spanish.
